Terms of Service

1. Acceptance

These Terms of Service ("Terms") are a contract between you and ProtoDynamics LLC, the operator of LabForge ("LabForge," "we," "us"). By purchasing a recipe, buying credits, subscribing, applying to the partner program, or otherwise using the service, you accept these Terms. If you are acting for a company, you represent that you have authority to bind it, and "you" means that company.

2. The service

LabForge produces equipment-ready thin-film deposition recipes. You describe the function the film must perform and the hardware you run; a proprietary first-principles physics engine computes a complete process specification — power, pressures, gas flows, ramps, bias, temperature, expected results, and failure-mode warnings — calculated for your described equipment.

A recipe is engineering guidance, not a guarantee of production yield. Real chambers drift, gauges miscalibrate, and materials vary by lot. That is why every recipe includes a revision commitment (Section 6): the recipe is refined against your measured run data until it behaves on your machine.

3. Accounts and accurate information

You agree to provide accurate contact and billing information and to keep it current. You are responsible for activity under your account and for keeping your credentials secure.

Accuracy matters twice here: the recipe is computed from the hardware description you provide. If the description is wrong — a different power supply, an unstated gas line restriction, a mislabeled source — the recipe will be computed for a machine you do not have. We will revise against your real runs, but the fastest path to a working process is an accurate description on day one.

4. Acceptable use

You agree that you will not:

• Resell, redistribute, or sublicense recipes or credits to any third party, except under an approved partner or white-label agreement (Section 7 and the partner program).
• Attempt to reverse-engineer, probe, or extract the engine or its method — including submitting orders designed to map, reconstruct, benchmark for a competing service, or otherwise discover how the engine computes its results.
• Use the service to violate any law, third-party right, or export-control restriction.
• Interfere with the operation or security of the service.

We may suspend or terminate access for violations of this section. Delivered recipes you have already paid for remain yours under Section 7.

5. Payment, credits, and subscriptions

Prices are published on the pricing page. Payments are processed by Stripe; when you order, we email you a secure Stripe payment link.

Single Recipe

A one-time purchase of one recipe, including the revision commitment in Section 6.

Recipe Packs

Recipe Packs are prepaid credits. Each credit is redeemable for one recipe, including the Section 6 revision commitment. Credits do not expire for 24 months from the date of purchase. Credits are transferable and resellable by approved partners under an approved partner or white-label agreement; for all other customers, credits are for your own organization's use.

Professional

Professional is a monthly subscription. It auto-renews each billing period until cancelled. You may cancel at any time; cancellation takes effect at the end of the current billing period, and you keep full access until then. You can cancel anytime from your account settings or by using our contact form — no reason required. Unused monthly recipes roll over and remain redeemable while the subscription is active. On cancellation, any unused recipes included with the subscription — this month's and any rolled over from prior months — are forfeited at the end of the current billing period. This forfeiture applies only to recipes included with the subscription; it does not affect separately purchased prepaid Recipe Pack credits, which keep their full 24-month validity from date of purchase (Recipe Packs, above) independent of any subscription.

Enterprise

Enterprise engagements are governed by a separate written agreement; where that agreement conflicts with these Terms, the written agreement controls.

6. Revisions, deep analysis, and the no-refund policy

Every recipe includes 3 revisions and 1 deep analysis. You run the recipe, report what the film actually did, and the engine recalculates against your measured results. A deep analysis is a one-time, root-cause pass across your full run history — an equipment-gap and process-window assessment — distinct from a revision, which is an incremental recalculation against a single run's results. That commitment — a recipe refined against your real runs until the process behaves — is the assurance we stand behind.

We do not issue cash refunds. The deliverable is a computed engineering work product, produced specifically for your described equipment; once computed, it cannot be returned. If a recipe does not perform as expected, the remedy is the revision commitment above, and we take that commitment seriously — the engagement is not finished at delivery, it is finished when the revisions are used or declined.

If we fail to deliver a recipe you paid for, we will complete the delivery or credit your account; a payment for which nothing was delivered will not be kept.

7. Intellectual property

You own your recipe

Upon full payment, you own the delivered recipe for your own production use — run it, modify it, keep it in your process library, and build products with it, indefinitely. We claim no rights in the products you make.

We own the engine

The engine, its method, its computational models, and all of LabForge's underlying technology and know-how remain the exclusive property of ProtoDynamics LLC. Purchase of a recipe transfers ownership of that deliverable — not of any part of the system that produced it, and not a license to recreate, resell, or offer the method as a service.

Approved reseller partners

Partners approved under the partner program receive a license to resell delivered recipes under their own brand. That license covers delivered recipes only; it does not extend to the engine or its method, and it is conditioned on the partner passing the Section 6 revision commitment through to the end client.

Your inputs

You retain all rights in the chamber and process information you submit. You grant us only the limited license needed to compute and revise your recipe — nothing more (see Section 8 and our Privacy Policy).

8. Confidentiality (mutual)

We protect your information. The chamber configurations, process details, materials, and run data you submit are your confidential business information. We use them solely to compute and revise your recipe. We do not sell them, do not share them with other customers or third parties (beyond the service providers listed in our Privacy Policy, to the minimum extent needed), and do not use them to train any public model.

You protect ours. Non-public information about the service — including the structure of undelivered work, partner pricing, and any non-public detail about how the engine operates that you may observe — is our confidential information, and you agree not to disclose it or use it outside your engagement with us.

These obligations survive termination of these Terms. Neither side's obligation covers information that is public through no fault of the receiving party, independently known, or required to be disclosed by law (with notice where lawful).

9. Warranty disclaimer

Recipes are engineering guidance provided "as is" and "as available." To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that a recipe will achieve any particular yield, film property, or production outcome on your equipment.

You are responsible for validating any recipe on your own equipment — including all safety, quality, and regulatory checks — before production use. Deposition processes involve high voltage, reactive gases, vacuum systems, and heated components; you are responsible for operating your equipment safely and in compliance with applicable law.

10. Limitation of liability

To the maximum extent permitted by law: (a) our total aggregate liability arising out of or relating to the service is capped at the amounts you paid us in the twelve months preceding the event giving rise to the claim; and (b) neither party is liable for indirect, incidental, consequential, special, or punitive damages — including lost profits, lost production, scrapped runs, or business interruption — even if advised of the possibility.

Nothing in these Terms limits liability that cannot be limited by law, or either party's liability for willful misconduct or breach of Section 8 (Confidentiality).

11. Indemnification

You will defend and indemnify ProtoDynamics LLC against third-party claims arising from: (a) products you manufacture, market, or sell using a recipe; (b) your operation of your equipment; (c) your violation of these Terms or applicable law; or (d) for partners, recipes you resell under your own brand. We will defend and indemnify you against third-party claims that the delivered recipe document itself, as provided by us, infringes that party's intellectual-property rights.

12. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws rules. The parties consent to the exclusive jurisdiction and venue of the state and federal courts located in the State of Florida. The parties will first attempt in good faith to resolve any dispute informally by written notice before filing any claim.

13. Changes to these terms

We may update these Terms from time to time. The current version is always posted here with its effective date. Material changes will be announced by email to active customers before they take effect; continued use of the service after the effective date constitutes acceptance. Changes do not retroactively alter the terms of a purchase already completed. Effective date: July 19, 2026.
